Acceptance of Terms

Definitions
For the purposes of these Terms:
- “Platform” means LattiSpec and all associated services.
- “Seller” means a registered business listing products or services on the Platform.
- “Buyer” means a business purchasing products or services through
the Platform or conducting a direct transaction with registered Seller. - “TGGD” means Technology-Grade Grown Diamond.

Eligibility & Registration
The Platform is intended for business use only (B2B). By registering, you confirm that:
- You are acting on behalf of a registered business entity.
- You are at least 18 years of age and have authority to bind your organisation.
- All registration information you provide is accurate and current.
We reserve the right to refuse or terminate any account at our sole discretion.

Use of the Platform
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
- Post false, misleading, or fraudulent product listings.
- Attempt to circumvent the Platform’s payment or commission systems.
- Harvest, scrape, or collect data from the Platform without authorisation.
- Transmit malicious code, spam, or unsolicited communications.
- Impersonate another user, business, or the Platform itself.

Seller Obligations
Sellers on the Platform agree to:
- Provide accurate product descriptions, specifications, certifications, and pricing.
- Maintain current and correct inventory levels and lead time information.
- Fulfil confirmed orders within the stated lead times.
- Comply with all applicable export controls, trade regulations, and industry standards.
- Pay service fees as calculated and displayed by the Platform at time of listing.

Buyer Obligations
Buyers on the Platform agree to:
- Provide accurate shipping and billing information for all orders.
- Complete payment for confirmed orders promptly or to meet seller’s request.
- Use purchased products in accordance with applicable laws and regulations.
- Raise any order disputes within 30 days of confirmed delivery.

Fees & Commission
LattiSpec charges Sellers a Platform fee per transaction, depending on product value. The applicable rate is displayed to the Seller at the time of listing.
Buyer transaction fees, if applicable, will be disclosed at checkout. All fees are subject to change with 30 days written notice to registered users.

Payments & Payouts
Buyer payments are processed securely via Stripe on the Platform or directly to Seller.
Seller payouts are released to the Seller’s linked account upon confirmed delivery and Buyer verification of receipt.
LattiSpec is not responsible for delays caused by the Seller’s payment provider, incorrect banking details, or disputes under active investigation.

Intellectual Property
All content on the Platform — including but not limited to logos, design, text, graphics, and software — is the property of LattiSpec or its licensors and is protected by applicable intellectual property laws.
Sellers retain ownership of their product content but grant LattiSpec a non-exclusive, royalty-free license to display and promote that content on the Platform.

Disclaimers & Limitation of Liability
The Platform is provided on an “as is” and “as available” basis. LattiSpec makes no warranties, express or implied, regarding the Platform’s availability, accuracy, or fitness for a particular purpose.
To the maximum extent permitted by law, LattiSpec shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including loss of revenue, data, or business opportunities.

Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, USA without regard to its conflict of law provisions.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

Changes to These Terms
We reserve the right to update these Terms at any time. We will notify registered users of material changes via email or a prominent notice on the Platform at least 14 days before the changes take effect.
Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
